Terms of Service

These Terms of Service govern the relationship between you ("Client") and Arclo Systems ("arclo", "we"), based in San José, Costa Rica. By engaging our services, you agree to these terms in full.
1. Services
arclo provides custom software development services, including but not limited to: web and mobile applications, SaaS products, artificial intelligence agents, and automations. The specific scope of each project will be detailed in an individual proposal or contract.
2. Proposals and Acceptance
Each project begins with a proposal outlining the scope, timeline, and investment. The proposal is considered accepted once the Client confirms in writing (including email) and makes the agreed initial payment.
3. Intellectual Property
Upon full payment for the project, the Client will receive complete ownership of the source code and deliverables developed specifically for their project. arclo retains the right to use internally developed tools, libraries, and generic components in other projects.
4. Payments
Payments shall be made according to the milestones defined in the project proposal. Payments overdue by more than 15 days may result in suspension of work until the situation is resolved. All prices are expressed in the currency specified in the proposal.
5. Confidentiality
Both parties agree to keep all sensitive information shared during the project confidential. This obligation survives termination of the contract for a period of 2 years.
6. Warranty and Support
arclo offers a 30-day warranty period after final delivery, during which software bugs will be fixed at no additional cost. Support beyond this period is governed by a separate maintenance agreement.
7. Limitation of Liability
arclo's total liability under any circumstances shall not exceed the total amount paid by the Client for the project in question. arclo shall not be liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate the contract with 15 days' written notice. In the event of termination, the Client shall pay for all work completed up to the termination date.
9. Governing Law
These terms are governed by the laws of the Republic of Costa Rica. Any disputes shall be resolved before the competent courts of San José, Costa Rica.
